Terms of Service
1. Acceptance of Terms
By accessing or using the ROBOBRILLIANCE platform, website, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Services. These Terms constitute a binding legal agreement between you and ROBOBRILLIANCE Inc. (“ROBOBRILLIANCE,” “we,” “us,” or “our”).
2. Description of Services
ROBOBRILLIANCE provides predictive fleet intelligence software and physical infrastructure services for companies operating autonomous robotaxi fleets. Our offerings include demand forecasting, idle vehicle repositioning algorithms, energy and hygiene routing, and real estate parcels equipped with charging and cleaning infrastructure.
3. Eligibility
The Services are intended for use by commercial fleet operators, transportation companies, and other business entities. You represent and warrant that you are authorized to enter into these Terms on behalf of your organization and that you have the legal capacity to bind your organization to these Terms.
4. Accounts and Access
Access to certain features of the Services may require creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Data and Analytics
You retain ownership of your fleet data. By using the Services, you grant ROBOBRILLIANCE a limited license to process your data solely for the purpose of providing and improving the Services. We will not share your proprietary fleet data with third parties without your consent, except as required by law or as necessary to provide the Services.
6. Intellectual Property
All software, algorithms, models, documentation, and content provided by ROBOBRILLIANCE are the intellectual property of ROBOBRILLIANCE Inc. and are protected by copyright, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your active subscription.
7. Service Level and Uptime
We target 99.97% uptime for our demand engine and dispatch services, measured monthly. Downtime excludes scheduled maintenance windows, force majeure events, and issues caused by third-party services or your infrastructure. Specific service level agreements (SLAs) are governed by separate pilot or enterprise agreements.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOBRILLIANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ROBOBRILLIANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for non-payment. Upon termination, all licenses granted to you will cease, and you must discontinue all use of the Services. Provisions relating to intellectual property, limitation of liability, and indemnification shall survive termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or through the Services at least 30 days before becoming effective. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
